Why Rosneft buys TNK-BP

84

Loud news the last hours: the state oil corporation "Rosneft" agreed to buy out the company TNK-BP from its shareholders.

Oil is always politics. Big oil is big politics. And after the purchase, Rosneft will become the world's largest company in terms of reserves and production.

And this means that it is no longer just a matter of big politics, but politics in the square ...

First, let's figure out who owned Rosneft TNK-BP.

This company was established in 2003 year.

«TNK-BP International Ltd. (TNK-BP) - the third largest oil company in Russia, whose shareholders on a parity basis are the British BP and the AAR consortium (Alfa Group, Access Industries, Renova). TNK-BP owns approximately 50% of the Russian oil and gas company Slavneft. TNK-BP accounts for about 16% of Russia's oil production (including TNK-BP in Slavneft). ”

In 2003, our British and American friends were preparing to buy Russian mineral resources for very little money. The first sign of this disastrous process for Russia was the creation of TNK-BP with the participation of British British Petroleum (BP). The second was the sale of Yukos to the Americans. Control over Russia's subsoil went abroad.

We have to understand that Western corporations will succeed in taking control of Russian subsoil and our budget will lose colossal money, and future generations will lose control over the wealth of our land.

That's what it is about when you read the news about the "oil news". It is impossible to allow foreigners to control the mineral resources of the field. That is why the Russian authorities intervened in the game. Unexpectedly for the West, Khodorkovsky in the same year 2003 went to jail, and the assets of his Yukos were eventually obtained by the state-owned company Rosneft.

Half the case was done, it remained to "squeeze" the British from TNK-BP. I described in detail the whole process of the “game” in the book “Sherche la oil».

This is what I wrote about five years ago in this book: “We should admire the resilience of proud Britons. They really want to stay in our oil and gas market, they want to influence it, and through this, to influence Russia's foreign policy. But it will not work. At this complexity, the company TNK-BP is not over. And sooner or later, but the British oil monopoly will be squeezed out of Russia, and its oil assets will be sold to a Russian company. “This is bad for us, bad for the company and, of course, very bad for Russia,” said Peter Sutherland, chairman of the board of the British oil giant, evaluating the developing events. And to the author of this book it seems that, on the contrary, it is good. Very good. Control over the main resource of the planet, over the main resource of his country in the hands of his government - is it good or bad? Answer this question yourself. ”

And finally, the British are squeezed out of TNK-BP. Squeeze out gently, over-the-way. But aggressively and steadily. The private company TNK-BP is fully redeemed from its shareholders by the state-owned company Rosneft.

“Earlier today it became known that the oil company Rosneft buys 100% of TNK-BP shares from the AAR consortium and the British oil company BP. The signing of the relevant agreement was announced by the head of Rosneft, Igor Sechin. The total amount of the transaction amounted to 61 billion.».

Does this mean that control over a large part of our bowels is returned to the hands of the Russian state? Yes it is.

Let's look into the confusing scheme of buying and selling oil assets.

First, make sure that Rosneft is truly a state-owned company.

We go to the website of the company, we read: http://www.rosneft.ru/Investors/structure/share_capital/

Share capital structure

The composition of shareholders (shareholders) of Rosneft Oil Company, owning more than 1% of the Company's authorized capital as of October 1 2012.

Why Rosneft buys TNK-BP

1. 75,16% belongs OJSC "Rosneftegaz"which is in 100% federal property.

2. Still 9,53% owned by LLC RN-Development, which in turn belongs to LLC RN-Trade, whose members are OJSC NK Rosneft (99,9999%) and LLC Neft-Aktiv (0,0001%), by 100% controlled by JSC "NK" Rosneft ". That is, Rosneft itself controls the company that owns 9,53% of its shares. This means that these percentages belong to the state.

3. The company itself OJSC “NK“ Rosneft ”has on its balance sheet, that is, it owns 3,04% "Self".

At this state participation ends. 10,19% which belong to Sberbank cannot be attributed to state assets, since the owners of Sberbank’s controlling stake are Central Bank, which is not subordinate to the government. Other individuals and legal entities are not interested in us either.

So: 75,16% + 9,53% + 3,04% = 87,73% Rosneft is owned by the state.

Now we are looking at the conditions on which our British "friends" agreed to give Rosneft shares in TNK-BP.

«The proposed transaction consists of two parts. Upon completion, BP will receive a package of Rosneft’s 18,5% stake and 12,3 billion dollars in cash. Taking into account the package of 1,25% of Rosneft's shares that BP already has, BP’s share in the share capital of a Russian company will be 19,75%.

So, in order for the British to lose 50% of the shares of the third largest oil company in Russia, we give them 18,5% of Rosneft.

As a result, control remains completely in the hands of Russia: we will have 69,23%, British Oil has 19,75%.

Of course, we would like our British partners to have a share in the depths of Russia equal to zero point zero. But politics is the art of the possible. And not the art of the desired. The British are removed from the control of the bowels, giving them only a piece of oil pie. Clean up after eight years of STRUGGLE with them for it!

(Just type in the TNK-BP search engine and the word “problems” and you will read how many difficulties and accidents you had to do to “convince” BP to give away the TNK-BP shares).

Now the conclusions that arise from the foregoing.

No privatization of Rosneft should take place. Otherwise, you can lose control over this important company. To talk about privatization, to smile, but to postpone it all the time and not to spend it for anything.
The strategic line of the Russian leadership to gain full sovereignty is complete control over the Russian bowels. But first, the complete rearmament of the army and fleet, development of a new state patriotic ideology. And then at the negotiating table with our British "friends" - with new trump cards.
To demand today to “drive the British with a filthy broom” from our oil industry is the complete absence of an adequate assessment of today's geopolitical reality. It is the same as demanding that Stalin send the Third Reich in August 1939, instead of signing a non-aggression pact with him. Only Svanidze can do this ...

While "they" are stronger - you need to negotiate.

This is the main art of politics and the head of state.

Rosneft will be privatized in the coming years!

BP's entry into the capital of Rosneft does not cancel plans for further privatization of the Russian state-owned company, said Russian Economic Development Minister Andrei Belousov.

Rosneft is one of the companies where readiness for privatization is the highest, "he said. Thus, according to the minister, the possibility of further privatization of the state-owned company remains." I think that everything is possible, "Belousov added.

Meanwhile, Deputy Prime Minister Igor Shuvalov, who oversees the privatization, previously said that the Russian government is considering the sale of Rosneft shares in 2013-2014. Currently, 100% state-owned Rosneftegaz owns 75,16% of shares in Rosneft.

"We believe that as soon as there is a better opportunity for placing this stake, it will be sold," I. Shuvalov said, adding that this position is shared by both the company's management and the chairman of the government. “We will work with high-quality investors so that they come to Rosneft,” he said.

It should be noted that the authorities have repeatedly announced their intention to privatize part of the state package in the company. At the beginning of June 2012. Russian Prime Minister Dmitry Medvedev said at a government meeting that Rosneft should be completely removed from state control by 2016. Previously, the state planned to transfer to investors up to 25% in the authorized capital of the company by 2015. At the same time, it was originally assumed in 2012. privatize up to 15% of Rosneft shares.

The author does not claim otherwise. Read carefully: "... No privatization of Rosneft" should not happen anymore...Talk about privatization, smile, but put it off all the time and never hold it... "This is not a promise, but a strong recommendation.
Those examples that you cite so far are also conversations. For example, I support the position of the author of the article.

Rosneft promise privatize. To promise is necessary, to fulfill is not. If the Americans do not promise, they will be furious and do nasty things, and so, they will calmly wait. And when the time comes, it turns out that the crisis is not a good time for privatization, so you have to wait a while, and so on, so don’t worry.

Russian President Vladimir Putin is not very fond of talking with reporters about his daughters. This topic is raised so rarely at press conferences that not every journalist can remember how many the president has. As you know, the head of state has two daughters - Maria and Katerina, 1985 and 1986 of birth respectively. They study at St. Petersburg State University.

The youngest daughter of the president, Katerina Vladimirovna Putin, entered the Eastern Faculty of St. Petersburg University in 2005. This is one of the most prestigious educational institutions of the city. 116 faculty teachers teach students 92-m languages. The Oriental faculty together with the philological faculty cover almost the entire linguistic environment of the UN countries. Katerina Putin has chosen the department of history of the countries of the Far East and is educated in the history of Japan. Even before entering the university, she studied Chinese, and, as the dean of the Oriental Department, Yevgeny Zelenev, said, she successfully passed testing in this language. In the future, according to the dean, she may also begin to study Korean. Both daughters are educated on an individual program. According to Yevgeny Zelenev, this form of education is not a special privilege of presidential daughters. “We have several students getting education under this program. This form is available to excellent students and children who have special circumstances, for example, nonresident students. After all, we have no correspondence or evening department. In order to receive education according to an individual plan, it is necessary to take not only sessions, but also intermediate certification, the closest of which will be in October. Failure of intermediate certification means automatic deprivation of an individual plan, ”explained Yevgeny Zelenev.

However, Katerina Putin does not seem to be in such trouble. The presidential daughter passed the last session brilliantly. For each of the exams (and there were five in total - Japanese, Japanese history, Japanese geography, the history of the Far East and ancient history) Katerina Putin received an excellent rating. “As the dean, I am completely satisfied with the results that Katerina shows,” says Yevgeny Zelenev, “I don’t have to interfere in the process of her education.” To study Oriental and European languages (of the latter, Katerina Putin’s plan is only English so far), the president’s daughter regularly meets with faculty teachers. The dean of the faculty did not comment on how often a girl happens to be in the building on Universitetskaya Embankment of the Neva, as this already concerns her personal life, and Evgeni Zelenev refused to talk about her initially: “Everyone, including Katerina, can enjoy certain privacy rights of his personal life. ” “Surprisingly, the president’s daughter’s safety issues weren’t specifically discussed,” says Yevgeny Zelenev. So, in general, Katerina receives education in the same mode as other students studying on an individual plan. ”

Only three years are left to visit the building on the University Embankment Katerina Putin. After graduating from the undergraduate, she will go to graduate school. And by the time the masters of the Oriental faculty will be getting education elsewhere. It is noteworthy that for the entire 150-year history of existence, the faculty did not have its own home. Now he shares the area with philological faculty. But the Orientalists did not have much time to live in cramped conditions - soon after the arrival of Katerina Putin, the governor of St. Petersburg, Valentina Matvienko, allocated a new building on the Congress line of Vasilyevsky Island to the eastern faculty. In a small three-story building, 150-180 of future masters will study. As soon as the repair is completed, which, apparently, has not yet begun, the full-time master's program will move to the building. The dean of the Oriental faculty did not directly connect the receipt of the president’s daughter with the allocation of a new building, but such coincidences are still very rare. The eldest daughter of Vladimir Putin, Maria, entered the biological and soil faculty of St. Petersburg University. In terms of prestige, this faculty is much inferior to the eastern one - the competition is a little more than two people per place. But the secrecy within the walls of the main building of the university, in which future biologists and geologists are trained, is respected much more strictly. Dean of the faculty Igor Gorlinsky refused to communicate with the press. The assistant dean, hearing the name of the president’s eldest daughter, exclaimed in horror: “What are you, how can you? There can be no question of any interview on this subject! ”The fact that the dean of the Oriental faculty agreed to provide information about her student that is not a secret of her personal life without any problems, the assistant dean, who introduced herself as Larisa Alexandrovna, commented as follows:“ This is their business. ” It was not possible to contact the dean himself. The call to Vice-Rector for Research Vladimir Troyan did not help either. “I can’t put pressure on Igor Alekseevich, it’s not in my competence,” he explained. - I myself have not yet been able to see the presidential daughters with my own eyes. Although I would love to look at them, talked. Moreover, as far as I know, girls study very well. ” After a pause, Vladimir Troyan added: “On the other hand, as they say in Russia, the less you know, the better you sleep.” Not even talkative students of the Faculty of Biology and Soil turned out to be caught in the long corridor of the Twelve Collegia building. None of them, as it turned out, are familiar with Maria Putin. “And indeed, as far as I know, it is better to talk with the dean on this topic. And then we still may have some problems, ”the third-year student of a very conscious form explained.

Uzul. I appreciate you as a normal conversationalist, but as for Putin.
Remember the case of Colonel Budanov. Before the last trial, GDP speaks on TV and declares that Budanov is guilty and will be punished. One of the rulers of Russia, before the decision of an independent court, accuses a soldier of his army. I understand the politician is a dirty business, I do not know for the sake of whose interests it was done this statement was clearly not Russian. I experienced shock, anger, disgust. There was no doubt about the court decision. And this was only the beginning.
For me, the real politician that people will follow is the one who tells them the truth no matter what it is. I had to give credit to the GDP for the first time, I tried to keep my promises, later he realized that those to whom he promises forget these promises and you can promise and promise, and it’s not necessary to execute at all. I hope you also remember that Vladimir Vladimirovich promised us one assurance during the first presidential term that there will be a cruel fight against corruption.

We have to understand that Western corporations will succeed in taking control of Russian subsoil and our budget will lose colossal money, and future generations will lose control over the wealth of our land.
For whom this statement is intended. People lost control over natural resources about 20 years ago. If we assume that ROSNEFT is almost completely owned by the state, then considering the cost of fuels and lubricants in Russia, it turns out that the state is pulling three skins from its own citizens. By and large, the price of fuel forms prices on many goods and services in the country.

Only now this money goes to 70% to the budget and, again, to rearm our army. I must say right away that it is impossible to plunder all the money, they supply and build something.
By and large, the price of fuel forms the prices of many goods and services in the country.
Only for certain types of goods, the price of fuel and lubricants greatly affects the cost.
A simple example is China, where prices for gas and electricity are higher than in Russia.

Fuel and energy prices affect almost the entire range of products. This topic has long been sucked up and proven by economists. Any product is made from raw materials, this raw material must be obtained, delivered to production, produced, delivered to the consumer. The chain is certainly not complete but without this fuel chain anywhere.

Exclude from the production process aluminum sheet machines working on fuel and lubricants. Mining trucks, excavators, diesel locomotives. All fuel and lubricants spent by these machines are put into the price of the goods. You can get and deliver ore or ore If you can re-melting without cars? If you can, a prize in the economic sphere is provided. However, horse traction remains.

The rest is excise. The situation is approximately the same with Gazprom. Putin's decree: state shares in RusHydro, FGC, IDGC and Rosneft are not subject to privatization
Vladimir Putin May 21, the day before the nomination of Igor Sechin to the post of chairman of the board of Rosneft, signed a decree on the inclusion of this company in the list of strategic enterprises. Thus, the list includes one share of Rosneft, which is owned by the state, Interfax reports.
The list also includes government shares in JSC FGC UES, JSC "IDGC Holding", JSC "RusHydro" and JSC "System Operator".
“The inclusion of these shares in the strategic list means that they are not subject to privatization,” presidential spokesman Dmitry Peskov explained to Interfax.
The list includes one share (0,000000009% of shares) of Rosneft, 60,38% of shares of RusHydro, 79,55% of shares of FGC UES, 53,69% of shares of IDGC Holding and 100% of shares of System Operator .

Peskov emphasized that this, however, does not mean that the share of Rosneftegaz in Rosneft is not subject to privatization (currently it is 75,2%).

By the way, no one will explain to me what this advertisement is for and who sponsors it, because Gazprom doesn’t need to advertise to ordinary people, it doesn’t sell anything to him, and if it does, it’s on no alternative basis ... My opinion is that this is one of stages of patriotic education, but I would like to hear a competent opinion.

Yes, so no one has ever worn their own people, and so at the time of grab privatization, the unified oil industry of the USSR pulled out and surrendered to the dorm so to speak so close to the emperor, Sibneft, Yukos, Surgutneftegaz, Gazpromneft, TNK, tower, Tatneft, and more a couple, then the state seems to be creating Rosneft and buying out billions of dollars from these gentlemen, so to speak, it seems to bring everything back under the control of the new state oligarchs, and now a new trick, what's the point then of a new privatization, which will end by 16 by the program? That is, now it turns out shaving, receiving 20% of the transaction, and then another privatization, we (although we don’t have anything for so long), again we lose control, then we will probably buy it again ((((

The article is a set of pseudo-patriotic screams, completely dependent on the power of the patriot Starikov. And the conclusions are sheer nonsense!

The strategic line of the Russian leadership to gain full sovereignty is complete control over Russian mineral resources.

Whose sovereignty? Russian state or group of individuals close to the leadership?

But first - the complete rearmament of the army and navy, the development of a new state patriotic ideology.

Dima2020 has been broadcasting to us about the rearmament of the army and navy since March, but something that the wagon almost did not move. On the development of ideology in general, you can not talk, it is not clear on the basis of what actions the authorities, Starikov feels hope.

This is the same as demanding from Stalin ..... This is the main art of the politician and the head of state.

Well, how not to flatter the beloved president.

No privatization of Rosneft should ever take place.

Yeah, they forgot to ask Starikov. It will be necessary-privatize.

The state is slowly but surely regaining control, first gas, then vodka, now tobacco and oil. Soon, if there is no big mess in the near future, soon everything will come back to square one.

No, but the state must control vital branches, otherwise it will not be. Recycling, technology development, intelligence. Why are you not a field for activity? Resources are a state monopoly! (Otherwise, we will lose all this again)

With one hand they recognize the inefficiency of state management of enterprises and voiced the course towards privatization (DAM's appearance as president and prime minister), with the other hand they buy up the assets of companies.
Strange where is the logic? Will there be more taxes? Then it is necessary to buy Lukoil and everything else so that Rosneft becomes the largest oil giant.

    - ... The current main goal is to develop production up to 9,5-10 million barrels per day and hold it for as long as possible in the hope that new fields will be already developed by the time depletion occurs. The expert has no doubt that the main reason for the acquisition of TNK-BP assets for Rosneft was precisely the new fields ...

Somehow "everything hurts smoothly", not everything is "offhand" quite simple ...

First, they gave them to the British "for so" then they were heroically "squeezed out" for as many as eight (!) Years, and they were also paid extra and the shares of the common company were dumped as much as 19% ... So they "squeezed" or vice versa "squeezed" the British into Russian oil? Isn't 19% of the combined company equal to 50% of the former? The authorities lead the Russians by the nose, pretending that they are "fighting" for human good, but in reality ... eh ...

Another 9,53% belongs to RN-Development LLC, which in turn is owned by RN-Trade LLC, whose participants are Rosneft Oil Company (99,9999%) and Oil-Active LLC (0,0001, 100%), 9,53% controlled by Rosneft. That is, Rosneft itself controls the company, which owns XNUMX% of its shares.

I love such furious schemes. It seems, sitting below and seeing only a piece of cake, the question naturally arises - why? And someone sees the whole pie and does just that and not otherwise.
